Commercial Law and Corporate Law
Commercial Law is currently included in the Civil Code. But still it is necessary to distinguish between relations which are purely commercial, i.e. relations between businessmen, relations between businessmen and consumers and relations between non-commercial subjects. Regulation of companies is incorporated in the Act on Commercial Companies and Cooperatives. In this branch of law, we provide complete legal service consisting mainly in the following activities:
- establishment of commercial companies and cooperatives including representation before court of registration and trade register,
- preparation of articles of association,
- review of legal documents in connection with the recodification of private law,
- preparation of general meetings including ensuring the attendance of a public notary,
- transfer of shares and constitution of liens on shares,
- legal representation in disputes of company members and shareholders,
- drafting of trade terms and contracts.
